These Terms govern your organisation’s use of GiftGuard Authorise (the “Service”). By using the Service, you agree to these Terms.
The Service is provided by GiftGuard Technologies Ltd trading as GiftGuard Authorise (“we”, “us”). The customer entity (“you”, “Customer”) accepts these Terms when purchasing or accessing the Service.
We provide a hosted G&H approval workflow with policy-based decisions, immutable audit identifiers and CSV export functionality. We may improve or modify features provided overall functionality is not materially degraded.
No unlawful, harmful, infringing or abusive content; no reverse engineering, circumventing security, or damaging networks. We may suspend where necessary to protect the Service or others.
We operate on Cloudflare infrastructure and implement industry-standard security measures. The Service is designed for high availability at the edge; however, no service can guarantee 100% uptime.
We retain all IP rights in the Service. Customer Data remains yours. You grant us a limited licence to process Customer Data solely to operate the Service and provide support.
Each party will protect the other’s confidential information with reasonable care and use it only as necessary to perform the agreement.
The Service is provided “as is”. We disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement). The Service is not legal advice; you remain responsible for your policies and decisions.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special or consequential damages, or loss of profits, revenue, data or business. Our aggregate liability in any 12-month period is limited to the amount paid by Customer for the Service in that period. Nothing limits liability for death/personal injury caused by negligence or for fraud.
Customer will indemnify us from third-party claims arising from Customer’s unlawful use or breach of these Terms.
Both parties will comply with applicable anti-bribery, corruption, export control and sanctions laws.
We may update these Terms. Material changes will be notified; continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction.
