Terms of Service

These Terms govern your organisation’s use of GiftGuard Authorise (the “Service”). By using the Service, you agree to these Terms.

1. Parties & contract

The Service is provided by GiftGuard Technologies Ltd trading as GiftGuard Authorise (“we”, “us”). The customer entity (“you”, “Customer”) accepts these Terms when purchasing or accessing the Service.

2. Subscription & fees

• Subscriptions are billed annually in advance unless stated otherwise.
• Fees exclude taxes; you are responsible for applicable taxes.
• Prices and packaging may change on renewal with prior notice.

3. Scope of service

We provide a hosted G&H approval workflow with policy-based decisions, immutable audit identifiers and CSV export functionality. We may improve or modify features provided overall functionality is not materially degraded.

4. Customer responsibilities

• Configure your policy, thresholds and retention to match your obligations.
• Manage user access via your identity provider and Cloudflare Access.
• Ensure submissions and use comply with applicable law and your internal policies.

5. Acceptable use

No unlawful, harmful, infringing or abusive content; no reverse engineering, circumventing security, or damaging networks. We may suspend where necessary to protect the Service or others.

6. Data protection

• Each party will comply with applicable data protection laws.
• We process personal data as described in the Privacy Policy and, where required, under a data processing addendum (DPA) with Customer.
• Customer is controller of end-user submissions; we act as processor where applicable.

7. Security & availability

We operate on Cloudflare infrastructure and implement industry-standard security measures. The Service is designed for high availability at the edge; however, no service can guarantee 100% uptime.

8. Intellectual property

We retain all IP rights in the Service. Customer Data remains yours. You grant us a limited licence to process Customer Data solely to operate the Service and provide support.

9. Confidentiality

Each party will protect the other’s confidential information with reasonable care and use it only as necessary to perform the agreement.

10. Warranties & disclaimers

The Service is provided “as is”. We disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement). The Service is not legal advice; you remain responsible for your policies and decisions.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special or consequential damages, or loss of profits, revenue, data or business. Our aggregate liability in any 12-month period is limited to the amount paid by Customer for the Service in that period. Nothing limits liability for death/personal injury caused by negligence or for fraud.

12. Indemnity

Customer will indemnify us from third-party claims arising from Customer’s unlawful use or breach of these Terms.

13. Term, renewal & termination

• These Terms run for the subscription term. Either party may terminate for material breach not cured within 30 days of notice.
• On termination, we will delete or return Customer Data per your written instruction and policy/retention settings.

14. Compliance & ethics

Both parties will comply with applicable anti-bribery, corruption, export control and sanctions laws.

15. Changes

We may update these Terms. Material changes will be notified; continued use after the effective date constitutes acceptance.

16. Governing law

These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction.
